Terms of Service

1. Agreement

By creating an account or using RingSam services, you agree to these terms. RingSam provides AI-powered voice receptionist, SMS agent, and business communication services. If you do not agree, do not use our services.

2. Services

RingSam provides:

  • AI voice receptionist that answers inbound calls on your behalf.
  • SMS agent that responds to text messages.
  • Appointment booking and calendar management.
  • Contact management (CRM) and ticket system.
  • Knowledge base and website scraping for AI training.
  • Analytics, call transcripts, and reporting.
  • Twilio phone number provisioning and management.

3. Account Responsibilities

  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for the accuracy of the business information you provide to train your AI agent.
  • You must comply with all applicable laws regarding automated communications, including CRTC rules for Canadian businesses and TCPA if serving US customers.
  • You must have appropriate consent before using outbound SMS campaigns or automated calling features.
  • You are responsible for the content your AI agent communicates on your behalf.

4. Acceptable Use

You agree not to:

  • Use RingSam for illegal, fraudulent, or deceptive purposes.
  • Send unsolicited spam via SMS or outbound calls.
  • Misrepresent your AI agent as a human when legally required to disclose.
  • Attempt to reverse-engineer, scrape, or interfere with our platform.
  • Exceed your plan limits in a way that degrades service for other users.
  • Use the platform to collect sensitive information (credit card numbers, social insurance numbers) via voice or SMS without appropriate security measures.

5. Pricing and Billing

  • Plans are billed monthly. Prices are in Canadian dollars (CAD) unless otherwise stated.
  • Your plan includes a set number of call minutes and SMS messages. Overage charges apply beyond included limits.
  • Setup fees may apply and may be waived through promotional offers.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period. No prorated refunds.
  • We reserve the right to change pricing with 30 days notice.
  • Twilio phone numbers provisioned through RingSam are billed separately by Twilio.

6. Free Trial

New accounts receive a 14-day free trial. No credit card is required to start. At the end of the trial, you must select a paid plan to continue using the service. Unused trial minutes do not carry over.

7. Data Ownership

  • Your data: You own all business data, contact information, call recordings, and content you provide. We process it solely to deliver our services.
  • AI-generated content: Responses generated by your AI agent on your behalf are your responsibility.
  • Aggregated data: We may use anonymized, aggregated data to improve our platform. This data cannot identify you or your customers.

8. Service Level

We target 99.9% uptime for our platform. We are not liable for downtime caused by third-party providers (Twilio, ElevenLabs, Vercel), force majeure, or scheduled maintenance. Enterprise customers may negotiate a separate SLA.

9. Limitation of Liability

RingSam is provided "as is." To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages including lost revenue, missed calls due to service interruption, or actions taken by your AI agent. Our total liability is limited to the fees you paid in the 12 months preceding the claim.

10. White-Label and Reseller Terms

If you use RingSam as a white-label reseller, you are responsible for your end clients' compliance with these terms. Reseller markup pricing and revenue sharing are governed by your separate reseller agreement.

11. Termination

We may suspend or terminate your account for violation of these terms, non-payment, or abuse. Upon termination, your data will be available for export for 30 days, after which it will be deleted.

12. Governing Law

These terms are governed by the laws of the Province of Ontario, Canada. Disputes will be resolved in the courts of Ontario.
